Terms and Conditions of Use

Introduction

These Terms and Conditions govern access to and use of the Zeltask platform, operated by Yes The Moon SpA, RUT 78.419.059-5, with registered address at Cerro El Plomo No. 5931, office 1213, Las Condes, Santiago, Chile, a company incorporated under the laws of Chile.

By accessing, registering for or using Zeltask, the customer accepts these terms in their entirety and declares that it has sufficient authority to act on behalf of the user company.

If the customer does not agree with these terms, it must refrain from using the platform.

Definitions

For the purposes of these Terms and Conditions:

Customer: the legal entity, company or organisation that contracts, subscribes to or uses Zeltask's services, whether by means of a subscription, commercial agreement or other authorised arrangement.

User: any natural person authorised by the Customer to access and use the Zeltask platform on that Customer's behalf.

External User: suppliers, contractors, external collaborators or other third parties authorised by the Customer to access specific platform features.

Unless the context expressly indicates otherwise, any reference to the Customer shall include actions carried out by its authorised Users and External Users.

Description of the service

Zeltask is an operations and continuous improvement platform aimed at organisations and companies. Its purpose is to facilitate the management of assets, actions, inspections, inventories, suppliers, locations, tickets and other operational processes.

The platform may include, among other features:

• Asset management
• Tickets and incidents
• Actions and operational follow-up
• Inspections
• Inventories
• Templates
• Suppliers
• Locations
• Operational metrics and performance
• Collaborative features
• Automated tools and artificial intelligence
• Upload and storage of files and documents

Zeltask may incorporate new features, integrations, APIs, beta tools or experimental characteristics at any time.

Registration and accounts

Access to the platform requires the creation of a business account. The customer shall be responsible for:

• The accuracy of the information provided
• Maintaining the confidentiality of access credentials
• Properly administering authorised users
• All activity carried out from its accounts and associated users

The customer may create multiple internal users and grant access to authorised third parties, including suppliers or contractors, remaining fully responsible for their actions within the platform.

Permitted use

The customer undertakes to use Zeltask solely for legitimate purposes related to its business operations. The following are strictly prohibited:

• Using the platform for illegal activities
• Attempting unauthorised access to systems or data
• Interfering with the operation of the platform
• Introducing malware, viruses or malicious code
• Carrying out automated scraping or abusive use of the system
• Uploading unlawful content or content that infringes third-party rights
• Storing personal data unrelated to strictly operational purposes
• Storing biometric data, sensitive financial data, state secrets or other highly regulated information without the corresponding legal authorisation

Zeltask may immediately and temporarily suspend accounts that present security risks, abuse or serious breach of these terms.

Ownership and processing of data

All information, documents and data entered by the customer into Zeltask are and shall remain the property of the customer.

Zeltask acts solely as custodian and processor of that information for the purposes of operating, storing, backing up and running the service.

The customer grants Zeltask a limited authorisation to process that information exclusively to the extent necessary to:

• Operate the platform
• Maintain backups
• Provide support
• Improve features
• Develop new tools
• Improve automated processes and artificial intelligence

Zeltask may use anonymised and aggregated information for statistical and analytical purposes and to improve the service, including automated features and artificial intelligence, in accordance with the Zeltask Personal Data Privacy Policy in force.

Backup and retention of information

Zeltask performs periodic backups of information for the purposes of operational continuity and recovery from incidents.

Notwithstanding the foregoing, Zeltask does not guarantee the recovery of information deleted by users.

The customer may request exports of its data in accordance with the applicable commercial conditions. Zeltask may charge reasonable administrative fees associated with bulk export or data migration processes.

In the event of termination or definitive suspension of the service:

• The account will remain suspended once the contracted period has ended
• Information will be retained for up to 8 months
• During that period, the customer may request an export of its data
• After that period, the information may be permanently and irreversibly deleted

Service availability and support

Zeltask will make commercially reasonable efforts to maintain the availability and continuity of the platform.

Nevertheless, the service may be affected by:

• Scheduled maintenance
• Updates
• Technical failures
• Third-party provider issues
• Events beyond Zeltask's reasonable control

Maintenance windows will preferably be carried out outside business hours.

Support may be offered in Spanish and English, and requests may be channelled through the platform or via soporte@zeltask.com.

Security

Zeltask implements reasonable security measures designed to protect the information hosted on the platform, including secure authentication mechanisms, encryption, access control and backups.

Notwithstanding the foregoing, the customer acknowledges that no computer system is completely infallible or immune to security incidents.

Zeltask shall not be liable for:

• Cyberattacks
• Actions of third parties
• Internet failures
• Interruptions by external providers
• Acts of God or force majeure

Zeltask may maintain activity and audit logs for security, support, traceability and operational compliance purposes.

Artificial intelligence and automated features

Zeltask may incorporate tools based on artificial intelligence, automation or intelligent suggestions.

The customer acknowledges that such features are assistive in nature and do not replace the professional, technical, operational or legal judgement of users.

Zeltask does not guarantee absolute accuracy in respect of recommendations, suggestions or automatically generated results.

Beta or experimental features may present errors, changes or interruptions and may be modified or removed without prior notice.

Intellectual property

Zeltask and all of its components, including software, design, interface, code, trademarks, logos and documentation, are the property of Yes The Moon SpA or of its respective licensors.

The customer receives only a limited, non-exclusive, non-transferable and revocable licence to use the platform in accordance with these terms. The following are prohibited:

• Copying
• Modifying
• Reselling
• Decompiling
• Reverse engineering
• Commercially exploiting the platform without express authorisation

Any suggestion, feedback or recommendation provided by the customer may be used by Zeltask to improve the service with no obligation of compensation.

Payments and subscriptions

Zeltask may offer monthly plans, annual plans, free plans, temporary trials or other commercial arrangements.

Prices and commercial conditions may be modified by notifying the customer with reasonable advance notice.

Free trials may be limited, suspended or modified at any time.

In the event of late payment or non-payment:

• Zeltask may send payment reminders
• The account may be temporarily suspended
• Service continuity will not be guaranteed
• Information may be deleted once the applicable retention periods have elapsed

Payments made are non-refundable except where mandatory legal provisions require otherwise.

Suspension and termination

Zeltask may suspend or terminate access to the platform in the event of:

• Breach of these terms
• Abusive or fraudulent use
• Security risks
• Non-payment
• Illegal or unauthorised activities

Where reasonably possible, Zeltask will endeavour to notify the customer in advance of breaches capable of being remedied.

The customer may cease using the platform in accordance with the applicable commercial or contractual conditions.

Limitations of liability

Zeltask is provided "as is" and as available.

Zeltask does not guarantee:

• Uninterrupted availability
• Complete absence of errors
• Absolute compatibility with external systems
• Specific operational results
• Automatic regulatory compliance

Under no circumstances shall Zeltask be liable for:

• Loss of production
• Loss of profits
• Loss of contracts
• Loss of information
• Indirect damages
• Incidental or consequential damages

Zeltask's total aggregate liability arising from use of the platform shall not, under any circumstances, exceed the amounts actually paid by the customer during the three months preceding the event giving rise to the claim.

Electronic signature

The signature features available within the platform do not constitute an advanced electronic signature and do not replace legal instruments requiring special formalities, unless expressly stated otherwise.

Amendments

Zeltask may amend these terms at any time.

Amendments shall take effect from their publication on the platform or from the date indicated in the corresponding update.

Continued use of the platform shall imply acceptance of such amendments.

Governing law and dispute resolution

The parties shall endeavour to resolve any dispute amicably and in good faith.

Should no solution be reached, disputes shall be submitted to the competent courts of Santiago de Chile, in accordance with applicable law.
